8. Privacy
Our handling of personal information is also governed by our Privacy Policy.
When we process personal information solely on behalf of a business client, additional data-processing obligations may apply.
Clients operating in regulated industries or processing sensitive information may require additional contractual arrangements before using certain services.

Discontinue a service
Change technical requirements
Experience security incidents
Remove functionality
FollowTheFeedback is not responsible for failures, interruptions, changes, losses, or limitations caused by third-party services outside our reasonable control.
We may modify an implementation when reasonably necessary because a third-party platform changes.
Additional work required because of a significant third-party change may be treated as new work and may require additional fees.

Some services may require you to maintain accounts directly with third-party providers.
Unless expressly agreed otherwise, you are responsible for:
Maintaining those accounts
Paying third-party fees
Keeping billing information current

11. Service Availability
We aim to provide reliable services, but we do not guarantee that any website, automation, AI system, integration, API, telecommunications service, cloud service, or other technology will operate without interruption or error.
Maintenance, updates, outages, internet problems, cybersecurity incidents, third-party failures, or other events may temporarily affect service availability.
Where commercially reasonable, we will attempt to assist with issues involving systems we manage, subject to the scope of your service agreement.
12. Changes to Technology
Technology changes quickly.

Business reasons
We do not guarantee that a particular third-party model, platform, API, feature, or integration will remain available indefinitely.

Prices and payment schedules will be provided through the applicable proposal, invoice, checkout page, subscription, order form, or written agreement.
Depending on the service, fees may include:

Additional development or support fees
You agree to pay all amounts you authorize according to the applicable billing terms.
Unless otherwise stated, prices do not include taxes, government charges, or third-party fees that may apply.
14. Recurring Services
If you purchase a recurring service, you authorize recurring billing according to the billing schedule shown when you purchase or agree to the service.
Recurring services continue until cancelled according to the applicable agreement.
Cancellation generally stops future renewal charges. It does not automatically create a refund for a billing period that has already begun.
Any mandatory rights provided by applicable law remain unaffected.
15. Refunds
Unless a specific agreement states otherwise:
Fees for completed work are non-refundable.
Fees for services already provided are non-refundable.
Setup fees are generally non-refundable once setup work has begun.
Third-party charges already incurred on your behalf are non-refundable by FollowTheFeedback.
Subscription payments for a billing period that has already begun are generally non-refundable.
If we cancel a prepaid service without providing the relevant service and the cancellation was not caused by your breach, misuse, or nonpayment, we may provide an appropriate refund or credit for the unprovided portion.
Nothing in this section removes refund or consumer rights that cannot lawfully be excluded.
16. Changes in Project Scope
Unless otherwise agreed, a project includes only the work specifically described in the relevant proposal, order, or written agreement.
Requests that materially change the scope may require:
Additional fees
A revised timeline
A new proposal
A separate project
Examples include substantial redesigns, new integrations, additional automation, major workflow changes, new third-party platforms, or requirements that were not included in the original scope.
17. Client Delays
Our ability to complete work may depend on information, approvals, content, credentials, access, or decisions from you.
We are not responsible for delays caused by your failure to provide reasonably required materials or access.
Timelines may need to be adjusted if required information or approvals are delayed.
18. Intellectual Property
Your Content
You retain your rights in original content, trademarks, business information, data, images, documents, and other materials you provide to us.
You grant us permission to use those materials as reasonably necessary to provide the requested services.

Templates
Automation frameworks

Using these materials for a client does not automatically transfer ownership of the underlying reusable materials to the client.
Custom Deliverables
Ownership or licensing of custom deliverables will be determined by the applicable proposal or written agreement.
Unless otherwise agreed, any agreed transfer of ownership is subject to full payment of amounts due.
19. AI-Generated Content and Intellectual Property
Artificial intelligence may generate content based on patterns learned from large datasets.
Because of the nature of generative AI:
Similar outputs may be generated for other users.
Outputs may not qualify for copyright protection.
Outputs may contain material similar to existing content.
We cannot guarantee that every AI-generated output is unique.
We cannot guarantee that every output is free from possible third-party claims.
You are responsible for reviewing important AI-generated material before commercial publication or use.
20. Confidentiality
Each party may receive confidential business information from the other.
Each party agrees to use reasonable care to protect confidential information and to use it only for legitimate purposes relating to the business relationship.

We may suspend access to services where reasonably necessary because of:
Nonpayment
Fraud
Security concerns
Illegal activity
Material breach of these Terms
Abuse of our systems
Abuse of third-party systems
Excessive or unauthorized usage
A requirement from a third-party provider
A legal or regulatory requirement
Where reasonably practical, we will attempt to provide notice before suspension unless immediate action is necessary.

Following termination:
Access may end
Automations may stop operating
Third-party services may need to be transferred or cancelled
Data may eventually be deleted according to our Privacy Policy and applicable law
Outstanding fees remain payable
You are responsible for arranging appropriate business continuity before terminating systems that your business depends upon.

We do not guarantee that:

To the fullest extent permitted by applicable law, FollowTheFeedback will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or relating to the services, including loss of profits, revenue, business opportunities, goodwill, or anticipated savings.
Where liability can lawfully be limited, FollowTheFeedback's aggregate liability arising from a particular service will not exceed the amount you paid directly to FollowTheFeedback for the affected service during the six months immediately preceding the event giving rise to the claim.
For a one-time project completed in less than six months, the liability cap will not exceed the amount paid directly to FollowTheFeedback for that affected project.
These limitations do not apply where liability cannot lawfully be excluded or limited.
27. Client Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold FollowTheFeedback harmless from third-party claims, losses, liabilities, damages, and reasonable costs resulting from:
Content or data you provide unlawfully;
Your products or services;
Your violation of applicable law;
Your unauthorized communications;
Your infringement of third-party rights;
Your misuse of our services;
Instructions you provide that cause our systems to violate third-party rights; or
Your failure to obtain required notices, permissions, or consents.
This provision does not require you to indemnify FollowTheFeedback for liability caused solely by FollowTheFeedback's own conduct where such liability cannot lawfully be shifted.

Unless a separate written agreement provides otherwise, these Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
Mandatory laws that cannot legally be waived remain applicable.
31. Dispute Resolution
Before commencing formal legal proceedings, the parties should first make a reasonable good-faith effort to resolve the dispute directly.
Either party may provide written notice describing the dispute and proposed resolution.
If the dispute cannot be resolved informally, either party may pursue remedies available under applicable Philippine law and through the appropriate courts or authorities.
A separate client agreement may establish a different lawful dispute-resolution procedure.
32. Severability
If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
The invalid provision will be interpreted or limited as necessary to make it enforceable where legally possible.
33. No Waiver
If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.
34. Assignment
You may not transfer your obligations under these Terms without our written consent where such consent is reasonably required.
FollowTheFeedback may transfer its rights and obligations as part of a legitimate merger, acquisition, restructuring, sale of business assets, or similar transaction, subject to applicable law.
